End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legally binding agreement between you (“User,” “you,” or “your”) and Foxtcon One LLC, a Missouri limited liability company (“FoxtInn,” “Company,” “we,” “us,” or “our”), governing your right to use the FoxtInn software, applications, and related services (the “Software”). This EULA is in addition to, and works together with, our Terms of Service and Privacy Policy, both of which are incorporated herein by reference. In the event of conflict between this EULA and the Terms of Service, this EULA governs licensing of the Software itself.

BY ACCESSING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THIS EULA. IF YOU DO NOT AGREE, DO NOT USE THE SOFTWARE.

1. License Grant

Subject to your compliance with this EULA and the Terms of Service, FoxtInn grants you a limited, non-exclusive, non-transferable, non-sublicensable license to:

  • Access and use the Software solely for the purpose of operating your business in accordance with your subscription plan.
  • Use the Software on a per-seat, per-property, or per-user basis as determined by your purchased plan.
  • Download the Software onto permitted devices (computers, tablets, mobile phones) for your personal use.

This license is revocable at any time by FoxtInn in its sole discretion, particularly if you breach this EULA or the Terms of Service.

2. Restrictions on Use

You agree NOT to:

  • Copy, modify, translate, adapt, or create derivative works based on the Software.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code or underlying structure of the Software.
  • Sublicense, resell, rent, lease, transfer, or distribute the Software to any third party.
  • Remove, obscure, or alter any proprietary notices, labels, or trademarks in the Software.
  • Use the Software to develop competing products or services.
  • Access or use the Software with the intent to circumvent access controls, security measures, or usage limitations.
  • Use the Software for any unlawful, harmful, or abusive purpose.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials and login information.
  • All activities and actions taken under your account.
  • Notifying FoxtInn immediately of any unauthorized access to your account.
  • Providing accurate, complete, and current information when creating and maintaining your account.

4. Intellectual Property Rights

All rights, title, and interest in and to the Software, including all software, code, algorithms, designs, interfaces, trademarks, and documentation, are the exclusive property of Foxtcon One LLC or its licensors. The trademarks “FoxtInn” and “LALA” and their associated logos are registered or unregistered trademarks of Foxtcon One LLC. All rights are reserved except as expressly granted in this EULA.

5. White Glove Services

If you have activated the White Glove Operations Analyst add-on, the following additional terms apply:

  • Scope: White Glove services are provided as described in the Terms of Service, Section 3.7.
  • Analyst Access: Designated analysts have access to your account and customer content solely to perform White Glove services. All data access is subject to the same confidentiality, security, and data protection provisions that apply to FoxtInn employees.
  • No Liability for Analyst Content: While FoxtInn maintains quality standards for analysts, FoxtInn is not liable for errors, omissions, or judgments made by analysts in the course of providing White Glove services, provided such services were performed in accordance with your Customer-approved tone and brand guidelines.
  • Professional Limitations: White Glove analysts are operations professionals, not legal, medical, financial, or compliance advisors. Analyst recommendations do not constitute professional advice, and you retain full responsibility for all business decisions.

6. LALA AI and Chatbot Usage

6.1 LALA AI Features

The Software includes optional LALA AI features, including the LALA Virtual GM chatbot and other AI-powered functionality. Use of LALA AI is subject to the following:

  • No Training on Your Data: Customer data is never used to train, fine-tune, or improve AI models. Your data is processed solely to deliver the requested AI function within your account.
  • Third-Party AI Infrastructure: LALA AI may utilize third-party AI providers (OpenAI, Anthropic) under strict data processing agreements that prohibit model training on your data.
  • Advisory Only: AI outputs are informational and advisory. FoxtInn is not liable for decisions made in reliance on AI recommendations.
  • Accuracy Disclaimer: AI may produce errors, hallucinations, or inaccurate information. You should independently verify AI outputs before acting on them.
  • Opt-Out: You can disable LALA AI or individual AI features at any time via account settings.

6.2 LALA Chatbot Data Handling

When you interact with the LALA chatbot:

  • Your inputs and the chatbot’s responses are processed by third-party LLM APIs in encrypted transit.
  • No user conversation history is retained by the third-party AI provider beyond the individual session.
  • Conversation history is stored within your FoxtInn account for your reference and audit purposes.
  • Financial and operational data is never used to train external AI models.

7. Consent and Acceptance Mechanisms

7.1 Binding Acceptance

Your use of the Software constitutes binding acceptance of this EULA. Acceptance occurs through any of the following: account creation, clicking an acceptance button, accessing any feature of the Software, submitting data through any form or interface, interacting with LALA or any AI feature, or continuing to use the Software after notification of EULA updates.

7.2 Authorized User Acceptance

If you are an Authorized User added to a Customer’s account, you are independently bound by this EULA upon your first access. The Customer who added you is responsible for ensuring you are informed of this EULA.

7.3 Data Submission Consent

By submitting any personal data, business information, or content through the Software (including via forms, uploads, LALA conversations, or manual entry), you confirm that: (a) you have the legal right to submit such data; (b) you have obtained all required consents from data subjects; (c) the data is accurate and lawfully obtained; and (d) you accept the data processing described in our Privacy Policy.

7.4 LALA AI Consent

Before your first interaction with LALA, the Software will display a notice informing you that LALA is an AI-powered assistant and that your interactions are governed by this EULA, the Terms of Service, and the Privacy Policy. By proceeding to interact with LALA after viewing this notice, you consent to AI processing of your inputs and acknowledge the advisory-only nature of AI outputs.

7.5 Website Visitor Consent

Visitors to the FoxtInn website who submit information through contact forms, demo request forms, White Glove intake forms, or any other data collection mechanism are bound by these Terms and the Privacy Policy at the time of submission. A link to these documents is provided adjacent to all submission buttons.

8. Prohibited Uses

You agree not to use the Software for:

  • Violating any applicable law, regulation, or third-party right.
  • Transmitting viruses, malware, or any code of destructive nature.
  • Interfering with or disrupting the integrity or performance of the Software or third-party systems.
  • Attempting unauthorized access to the Software, accounts, or computer systems.
  • Sending unsolicited communications, spam, or phishing messages.
  • Generating misleading, fraudulent, or harmful content using AI features.
  • Operating the Software on behalf of a third party without proper contractual authorization.

9. Termination and Suspension

FoxtInn may suspend or terminate your license and access to the Software at any time:

  • If you breach any material term of this EULA or the Terms of Service.
  • For suspected fraud, unauthorized use, or violation of law.
  • If you fail to pay subscription fees.
  • If FoxtInn discontinues the Software or your subscription plan.
  • For any reason, with 30 days’ notice (except for AUP violations or fraud, which may be immediate).

Upon termination, your license immediately ceases, and you must stop using the Software. You may export your data within 30 days of termination, after which FoxtInn may delete it.

10. Disclaimers and Limitations of Liability

DISCLAIMER OF WARRANTIES: THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. FOXTINN DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FOXTINN DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW, FOXTINN SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS OR DATA LOSS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

LIABILITY CAP: FOXTINN’S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE GREATER OF (A) FEES PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.

11. No Guarantee of Results

FoxtInn does not guarantee any specific results, savings, revenue improvements, review score increases, or operational outcomes from use of the Software. Any estimates, projections, or benchmarks provided in marketing materials, the Software interface, or communications are for illustrative purposes only. Actual results depend on your business conditions, usage patterns, industry factors, and variables outside FoxtInn’s control.

12. Indemnification

You agree to indemnify, defend, and hold harmless Foxtcon One LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Software; (b) your violation of this EULA or any applicable law; (c) your Customer Content, including Guest Data; (d) your failure to obtain required consents from employees, guests, or third parties; or (e) any third-party claim arising from your use of the Software.

13. Updates and Modifications

FoxtInn may update, modify, or discontinue the Software or any feature at any time. Updates may be applied automatically without prior notice. Continued use of the Software after an update constitutes acceptance of any modified terms. FoxtInn is not obligated to provide any specific update, enhancement, or new feature. If an update materially reduces core functionality of a paid feature, FoxtInn will provide 30 days’ advance notice.

14. Third-Party Components

The Software may include or depend on third-party software components, including open-source libraries. Such components are subject to their respective license terms, which may be found in the Software documentation or provided upon written request to legal@foxtcon.com. FoxtInn makes no warranty regarding third-party components and is not liable for any claim arising from their use.

15. General Provisions

  • Entire Agreement: This EULA, together with the Terms of Service, Privacy Policy, and any Order Forms, constitutes the entire agreement between you and FoxtInn regarding the Software.
  • Severability: If any provision of this EULA is found unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Failure to enforce any provision does not constitute a waiver of that provision or any other provision.
  • Force Majeure: FoxtInn shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including natural disasters, pandemics, acts of government, internet or telecommunications failures, power outages, or cyberattacks.
  • Assignment: You may not assign or transfer this EULA without FoxtInn’s prior written consent. FoxtInn may assign this EULA in connection with a merger, acquisition, or sale of assets.
  • Beta Features: FoxtInn may offer beta or preview features that are provided “as is” without warranty. Beta features may be modified or discontinued at any time without notice. Use of beta features is at your own risk.
  • Electronic Communications: You consent to receive communications electronically. Electronic communications satisfy any legal requirement for written notice.

16. Governing Law and Jurisdiction

This EULA is governed by the laws of the State of Missouri, without regard to conflict of law principles. Any dispute arising from this EULA shall be resolved in accordance with the dispute resolution provisions in the Terms of Service, Section 14.
