Terms of Service

These Terms of Service ("Terms") form a binding agreement between Foxtcon One LLC ("Foxtcon One," "we," "us," or "our") and the individual or entity ("Customer," "you," or "your") that accesses or uses the FoxtInn platform, website, or related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms.

1. Eligibility and Account

You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized use.

2. Subscription and Billing

  • Plans: Subscriptions are described on our pricing page and are billed on the cycle you select (monthly or annual).
  • Fees: You authorize us to charge your payment method for all applicable fees. Fees are exclusive of taxes unless stated otherwise.
  • Renewals: Subscriptions automatically renew at the end of each term unless cancelled before the renewal date.
  • Free trials: Free trials convert to paid plans unless cancelled before the trial ends.
  • Refunds: Except where required by law, fees are non-refundable.

3. Acceptable Use

You agree not to:

  • Violate any law or third-party right.
  • Upload malware or attempt to compromise the Services.
  • Reverse engineer, decompile, or access the Services to build a competing product.
  • Use the Services to transmit spam or unsolicited communications.
  • Exceed rate limits or interfere with other users.
  • Impersonate others or misrepresent your affiliation.

4. Customer Content

You retain ownership of content you upload to the Services ("Customer Content"). You grant Foxtcon One a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and create backups of Customer Content solely to provide and improve the Services. You represent that you have the rights to share Customer Content with us.

5. Intellectual Property

The Services, including all software, design, text, and trademarks, are owned by Foxtcon One or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription term.

6. Privacy

Our handling of personal data is described in the Privacy Policy. For customers subject to GDPR or similar laws, the Data Processing Agreement is incorporated into these Terms.

7. Service Levels and Support

We strive for 99.9% uptime for paid plans. Service levels and support response commitments are detailed in our SLA.

8. Third-Party Integrations

The Services may integrate with third-party products you authorize. Foxtcon One is not responsible for third-party products and your use of them is governed by their own terms.

9. Confidentiality

Each party will protect the other's confidential information with the same care it uses to protect its own, and no less than a reasonable standard of care.

10. Warranties and Disclaimers

Foxtcon One warrants that the Services will perform materially as described in the documentation. EXCEPT AS EXPRESSLY SET FORTH, THE SERVICES ARE PROVIDED "AS IS" AND WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless Foxtcon One from claims arising from your Customer Content, your breach of these Terms, or your violation of law.

13. Term and Termination

These Terms remain in effect for the duration of your subscription. Either party may terminate for material breach if not cured within 30 days of notice. On termination, your access ends and you may export Customer Content for 30 days, after which we may delete it.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws. Disputes will be resolved in the state or federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated at least 30 days in advance. Continued use of the Services after changes take effect constitutes acceptance.
